Contractual Agreement

General Terms & Conditions of Service

Applicable to Studio Sessions, Engineering, Mixing, Mastering, and Facility Rental under Dutch Civil Law

1. Applicability & Corporate Scope

These General Terms and Conditions govern all commercial relationships, studio session bookings, service agreements, and deliverables between Gregorxyra Media B.V. (KvK: 91204857, BTW: NL912048570B01) and the Client (individual artist, musical ensemble, record label, agency, or corporation).

Deviations from these Terms are legally valid only if expressly agreed upon in writing and countersigned by an authorized director of Gregorxyra Media B.V..

2. Booking Confirmation & Down Payment Schedule

Studio booking commitments are structured under Boek 6 and Boek 7 of the Dutch Civil Code (Burgerlijk Wetboek):

  • A studio booking request becomes legally binding upon written confirmation (email or formal contract) and receipt of a 50% non-refundable advance deposit of the total scheduled turn fee.
  • The remaining 50% balance, together with any additional billable overtime hours or technical consumables, must be settled in full prior to the release of high-resolution master files and multitrack DAW project archives.
  • Payment terms for corporate invoice settlements are strictly 14 calendar days from the date of invoice issuance. Late payments incur statutory commercial interest pursuant to Article 6:119a BW.

3. Cancellation & Rescheduling Policy

Because studio rooms, sound engineers, and specialized outboard chains are reserved exclusively for the Client, the following statutory cancellation schedule applies:

  • More than 7 days prior to session: Rescheduling is permitted at no extra cost, subject to calendar availability within 60 calendar days. The 50% advance deposit remains applied to the rescheduled date.
  • Between 7 days and 48 hours prior to session: Cancellation results in forfeiture of the 50% advance deposit to cover studio idle-time overheads.
  • Fewer than 48 hours prior or No-Show: The Client is legally liable for 100% of the total scheduled session fee, pursuant to Article 6:74 BW.
  • Pursuant to Article 6:230p sub e of the Dutch Civil Code, statutory consumer cooling-off withdrawal rights do not apply to services related to leisure or specific scheduled execution dates.

4. Intellectual Property & Master Ownership (Auteurswet 1912)

Intellectual property and neighboring rights are governed strictly by the Dutch Copyright Act (Auteurswet 1912) and the Neighboring Rights Act (Wet op de naburige rechten - WNR):

  • The Artist/Client retains full and exclusive moral and authorial copyright ownership in their original musical compositions, arrangements, and lyrics.
  • All economic exploitation rights in the recorded master files, mixed stems, and DDP images transfer to the Client only and exclusively upon full payment of all outstanding invoices due to Gregorxyra Media B.V..
  • Unless explicitly contracted in a co-production royalty agreement, Gregorxyra Media B.V. asserts no publishing shares or neighboring rights royalties on client recordings.

5. Facility Regulations & Equipment Care

The Client is fully responsible for the conduct of all band members, session musicians, producers, and invited guests admitted to the studio premises:

  • Smoking, vaping, open beverages, and food consumption are strictly prohibited near mixing consoles, microphone booths, and vintage outboard racks.
  • Any physical or electrical damage caused to studio equipment, vintage microphones, valve outboard, or acoustic isolation structures resulting from gross negligence, recklessness, or breach of facility instructions will be billed to the Client at full certified repair or replacement value.

6. Archive Storage & File Retention

Gregorxyra Media B.V. provides complimentary archival storage of raw multitrack recordings and final mix deliverables for 90 calendar days following project completion. After 90 days, Gregorxyra Media B.V. assumes no legal liability for data loss. Clients are strongly urged to establish external backups upon delivery.

7. Limitation of Liability

Except in cases of gross negligence or intentional misconduct, Gregorxyra Media B.V.'s aggregate liability for any contractual breach or delay is strictly capped at the total amount invoiced and paid for the specific service in dispute. Gregorxyra Media B.V. is not liable for indirect, consequential, or reputational damages.

8. Applicable Law & Court Jurisdiction

These Terms and Conditions and all associated agreements are governed exclusively by the laws of the Netherlands. Any dispute arising out of or in connection with this agreement shall be submitted to the exclusive jurisdiction of the Rotterdam.
